Terms of Service

Please read these terms carefully before using the EduPath Canada website and services.

1. Acceptance of Terms

By accessing or using the EduPath Canada website (the "Site") and any services provided through it (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Site or Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and EduPath Canada, a Canadian education technology consultancy registered and operating at 130 King Street West, Suite 1800, Toronto, ON M5X 1E3, Canada ("EduPath Canada," "we," "us," or "our").

You must be at least 18 years of age to use this Site independently. If you are between 13 and 18, you may use the Site only with the involvement and consent of a parent, guardian, or authorized educator. Individuals under 13 should not submit personal data through this Site without parental supervision.

By continuing to access the Site after changes to these Terms are posted, you accept those changes. We recommend reviewing this page periodically to stay informed about any updates.

2. Description of Services

EduPath Canada provides AI literacy education services specifically designed for Canadian schools, school boards, post-secondary institutions, and education professionals. Our Services include, but are not limited to:

  • AI literacy professional development workshops for educators (available in English and French)
  • AI policy development consulting for schools and school boards
  • AI adoption strategy assessments and tool evaluations aligned with Canadian curriculum standards
  • Keynote presentations and speaking engagements at educational conferences and professional development days
  • Custom AI education events, including parent information sessions and multi-day educator institutes
  • Educational resource libraries, lesson plan templates, and policy frameworks available through the Site

The scope of any consulting engagement is defined in a separate written agreement between EduPath Canada and the contracting institution. These Terms govern your use of the Site and publicly available resources. They do not replace or modify the terms of any separate professional services agreement.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to communicate significant changes to active clients directly.

3. User Obligations

When using the Site and Services, you agree to the following obligations:

  • Use the Site only for lawful purposes and in accordance with these Terms and all applicable Canadian federal, provincial, and local laws and regulations.
  • Provide accurate, current, and complete information when submitting forms or creating any account on the Site.
  • Refrain from attempting to gain unauthorized access to any portion of the Site, its servers, or any systems connected to the Site.
  • Not use any automated system, including bots, spiders, scrapers, or data mining tools, to access, scrape, or collect content from the Site without our prior written consent.
  • Not impersonate any person or entity, or falsely state or misrepresent your affiliation with a person, institution, or organization.
  • Not upload, transmit, or distribute any viruses, malware, or other harmful code through the Site.
  • Not engage in any conduct that restricts or inhibits other users from using the Site, or that could damage, disable, or impair the Site's functionality.
  • Not reproduce, duplicate, sell, or exploit any portion of the Site or its content for commercial purposes without express written permission from EduPath Canada.

We reserve the right to investigate and take appropriate legal action against anyone who violates these obligations, including without limitation, removing offending content, suspending or terminating access to the Site, and reporting such conduct to law enforcement authorities.

4. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, icons, audio clips, video content, data compilations, software, lesson plans, policy templates, presentation materials, and resource documents (collectively, "Content"), is the property of EduPath Canada or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

The EduPath Canada name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of EduPath Canada. You may not use these marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content for your personal, non-commercial educational purposes. Educators employed by institutions that have entered into a services agreement with EduPath Canada may use designated resources in accordance with the terms of that agreement.

You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content obtained from or through the Site without express prior written permission from EduPath Canada. Any unauthorized use terminates the permission granted herein.

5. Disclaimers

The Site and all Content, Services, and resources provided through it are offered on an "as is" and "as available" basis, without any warranties of any kind, whether express, implied, or statutory.

EduPath Canada specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

The educational content, AI tool evaluations, policy templates, and recommendations provided on the Site and through our Services are for informational and educational purposes only. They do not constitute legal, technical, regulatory, or professional advice. AI technology evolves rapidly, and the accuracy and relevance of any content may change over time without notice.

We do not guarantee specific learning outcomes, assessment improvements, institutional performance gains, or student achievement results from the use of our Services or Content. Individual results will vary based on numerous factors beyond our control, including existing institutional capacity, staff engagement, student demographics, and provincial curriculum requirements.

Schools and school boards should always consult with their own legal counsel, privacy officers, and IT departments before implementing AI-related policies or adopting new technology tools based on any guidance provided through EduPath Canada.

6. Limitation of Liability

To the fullest extent permitted by applicable Canadian law, EduPath Canada, its directors, officers, employees, agents, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

  • Your access to or use of (or inability to access or use) the Site or Services;
  • Any conduct or content of any third party on the Site;
  • Any content obtained from the Site;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Decisions made or actions taken based on information, recommendations, or resources obtained through the Site or Services.

In no event shall EduPath Canada's total aggregate liability to you for all claims arising out of or relating to the use of the Site or Services exceed the greater of (a) the amount you paid to EduPath Canada in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights under applicable law.

7. Indemnification

You agree to defend, indemnify, and hold harmless EduPath Canada, its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:

  • Your use of or access to the Site or Services;
  • Your violation of these Terms;
  • Your violation of any third-party rights, including intellectual property rights, privacy rights, or proprietary rights;
  • Any content you submit, post, or transmit through the Site;
  • Any misrepresentation made by you regarding your identity, affiliation, or authority.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

8. Third-Party Links and Resources

The Site may contain links to third-party websites, applications, or resources that are not owned or controlled by EduPath Canada. These links are provided for your convenience and informational purposes only.

EduPath Canada has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, practices, or availability of any third-party websites or resources. We do not endorse and are not responsible or liable for any content, advertising, products, services, or other materials on or available through such third-party sites.

Your interactions with third-party websites or services are solely between you and the third party. We encourage you to read the terms and privacy policies of every third-party website or service you visit or use. You acknowledge and agree that EduPath Canada shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of any such third-party content, goods, or services.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with your use of the Site is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Site, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy explains in detail what data we collect, how we use it, which third-party services process it (including Google Analytics 4, Google Ads, and Meta Pixel), and how you can exercise your rights under the Personal Information Protection and Electronic Documents Act (PIPEDA) and the General Data Protection Regulation (GDPR) if applicable.

10. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with them or the Site shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario, located in the City of Toronto, for the resolution of any disputes or claims arising under or in connection with these Terms. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site or Services, you agree to first attempt to resolve the dispute informally by contacting EduPath Canada at [email protected]. Please include a detailed description of the dispute, including any relevant dates, your contact information, and the resolution you are seeking.

We will make reasonable efforts to resolve your concern within thirty (30) business days of receiving your written notice. During this informal resolution period, both parties agree to negotiate in good faith.

If the dispute cannot be resolved informally within the thirty (30) business day period, either party may pursue resolution through the courts of the Province of Ontario, as described in Section 10 of these Terms.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its intellectual property rights or confidential information.

12. Termination

EduPath Canada reserves the right to suspend or terminate your access to the Site and Services, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms, without prior notice or liability to you.

Upon termination, your right to use the Site and access its Content ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

If you wish to terminate your relationship with EduPath Canada or delete any personal data you have submitted through the Site, please contact us at [email protected]. We will process your request in accordance with our Privacy Policy and applicable privacy legislation.

13. Changes to Terms

EduPath Canada reserves the right to update, revise, or modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page and, for material changes, post a notice on the homepage of the Site for a minimum of fourteen (14) days before the changes take effect.

For users who have submitted contact information through the Site, we may also send an email notification regarding material changes to these Terms. However, it is your responsibility to review these Terms periodically.

Your continued use of the Site after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and Services immediately.
